Platform Prepared

Terms and Business Associate Agreement

Version 2026-10-16. Platform Prepared is a trade name of Gaul Consulting LLC, Washington.

Terms of ServiceBusiness Associate Agreement

Terms of Service

In plain terms: we work month to month, you can leave anytime, we don't promise specific results, and you stay in charge of your practice and your patients.

1. Who this is between

These terms are between Gaul Consulting LLC, doing business as Platform Prepared ("we"), and the dental practice that accepts them ("you"). The person accepting confirms they are authorized to agree for the practice.

2. What we do

We act as your operating partner. The work is the playbooks and roadmap shown in your portal: practice audit, software setup, Google profile, review responses, recall campaigns, vendor and software spend review, a monthly scorecard, and other items we agree on in writing (a message in the portal counts). We oversee vendors you already use, such as your marketing agency, billing service, and accountant, but we do not do their work.

3. What we don't do

4. Month to month, cancel anytime

There is no long-term contract unless we both agree to one in writing. Either of us can cancel at any time by message in the portal or by email. Service continues through the end of the month you have already paid for. There is no cancellation fee, and we don't refund partial months.

5. Fees

Your monthly rate is shown on the Account tab of your portal and is billed monthly in advance. If a payment is more than 10 days late, we may pause work until it's paid. We'll give you at least 30 days' notice before changing your rate.

6. Your responsibilities

7. No guaranteed results

Results depend on many things outside our control. Numbers marked as estimates in your scorecard, including estimated impact, are estimates and not a promise of future results.

8. Limits on liability

To the extent the law allows, our total liability for any claim related to our services is limited to the fees you paid us in the one month before the claim. Neither of us is liable for indirect or consequential losses, such as lost profits. Nothing in these terms limits liability that cannot be limited by law.

9. Claims from what you provide or approve

You agree to cover us for claims that arise from information you provided, messages you approved, your systems, or your staff, except where the claim results from our own breach of these terms or the law.

10. Confidentiality

We keep your business information confidential and use it only to provide our services. Patient information is covered by the Business Associate Agreement below.

11. Changes to these terms

If we change these terms, we'll tell you in the portal and ask you to accept the new version. If you don't agree, you can cancel under section 4.

12. Governing law

These terms are governed by the laws of the State of Washington.

Business Associate Agreement

In plain terms: HIPAA requires this whenever we may see your patients' information. It says how we protect it, what each of us is responsible for, and what happens when we stop working together.

1. Parties and purpose

This agreement is between the dental practice that accepts it (the "Covered Entity") and Gaul Consulting LLC, doing business as Platform Prepared (the "Business Associate"). It applies whenever the Business Associate creates, receives, keeps, or sends protected health information ("PHI") for the Covered Entity under the Health Insurance Portability and Accountability Act and the HITECH Act. Terms not defined here have their meaning under 45 CFR Parts 160 and 164.

2. How we may use PHI

Only to provide the services in the Terms of Service, such as patient recall, scheduling follow-up, and reporting, and only the minimum necessary. We will not sell PHI or use it for our own marketing.

3. How we protect it

4. Reporting problems

We will tell you about any use or disclosure of PHI not allowed by this agreement, including a breach of unsecured PHI, without unreasonable delay and no later than 5 business days after we discover it, with the information you need to meet your own notification duties.

5. Patient rights

We will help you respond to patient requests to access, amend, or receive an accounting of disclosures of their PHI, as HIPAA requires.

6. Your responsibilities as the Covered Entity

7. Government access

We will make our practices and records about PHI available to the U.S. Department of Health and Human Services when required to show compliance.

8. Term and ending

This agreement starts when accepted and ends when our services end. Either party may end it if the other materially breaches it and doesn't fix the breach within 30 days. When it ends, we will return or securely destroy any PHI we hold within 30 days and confirm in writing. If that isn't feasible, the protections here continue for as long as we hold it.

9. Governing law

This agreement is governed by HIPAA and the laws of the State of Washington. If they conflict, HIPAA controls.
